Legal Aspects of Board Membership

Board members must clearly understand their legal responsibilities because there is definitely potential for legal liability when serving on a board.
In general legal terminology this is called "exercising the duty of due care." This consists of three basic requirements:

Board members must always serve in good faith , that is with honesty and integrity in all board decisions. For example, you must not exaggerate when presenting a new project to potential donors.
Board members must act in the best interests of the center. They must exercise loyalty to the center, decide based on what's best for the center and not just an individual.
Board members must act prudently when making decisions, demonstrating common sense, good judgment, and wisdom.
