Board of Directors – Obey Thy Bylaws!
All non-profits are to be governed by their bylaws. The consequences of not following the bylaws can be dire, leading to the personal liability of the Board members for not following corporate regulations. Simply stated, bylaws are the set of rules adopted by an organization for the internal regulation and management of the corporation. The main areas that bylaws address are:
Board of Directors should review their bylaws regularly to ensure that those rules and regulations accurately reflect the organization’s mission and needs and that they are being followed by the board and staff. If the bylaws no longer accurately reflect the situation of your organization, simply change the bylaws as defined in the articles of incorporation. Some common reasons for changing bylaws include:
The important thing to remember is that Pregnancy Resource Center organizations can live or die by their bylaws. Therefore, Boards of Directors and staff MUST completely adhere to what is written in this corporate document to keep their Pregnancy Resource Center organization out of legal troubles.
